Vendor Terms and Conditions

Welcome to DigiAssetss! These Vendor Terms and Conditions (“Terms”) govern the relationship between DigiAssetss and its vendors, resellers, partners, or service providers (“Vendor”). By registering, partnering, or providing services through DigiAssetss, you agree to comply with and be bound by these Terms.
1. Acceptance of Terms
By engaging as a vendor with DigiAssetss and using our website https://digiassetss.com
or platform services, you agree to these Terms and our Privacy Policy. If you do not agree, you must not continue the vendor relationship.
2. Eligibility
Vendors must be at least 18 years of age and legally capable of entering into a binding agreement under applicable laws in India.
3. Scope of Services
DigiAssetss operates a WhatsApp Business API Panel and related digital communication services. Vendors may assist in or provide:
WhatsApp API onboarding and support
Bulk messaging and campaign management
Chat automation and chatbot solutions
Customer support, integrations, or related services
The scope of services may be updated or modified at DigiAssetss’s discretion without prior notice.
4. Vendor Responsibilities
As a vendor, you agree to:
Provide accurate and complete business and compliance information
Follow all applicable laws, WhatsApp (Meta) policies, and platform guidelines
Avoid spam, misleading promotions, illegal messaging, or unethical practices
Ensure that end clients have proper opt-in consent for WhatsApp communication
Any violation may lead to immediate termination of the vendor relationship.
5. Account & Access Security
Vendors are responsible for safeguarding their login credentials, dashboards, API access, and related data. DigiAssetss shall not be responsible for losses arising from unauthorized access due to vendor negligence.
6. Payments, Commissions & Refunds
Vendors agree to all pricing, commission structures, or revenue-sharing models communicated by DigiAssetss
Payments made to DigiAssetss are non-refundable, unless explicitly agreed in writing
DigiAssetss reserves the right to revise pricing or commission terms
7. Intellectual Property Rights
All platform content, dashboards, software, branding, documentation, and trademarks belong exclusively to DigiAssetss. Vendors are granted limited, non-transferable usage rights solely for authorized business purposes.
Unauthorized copying, resale, sublicensing, or misuse is strictly prohibited.
8. Confidentiality
Vendors must maintain strict confidentiality of DigiAssetss data, client information, pricing models, and technical details. Confidential information must not be disclosed to third parties without prior written consent.
9. Privacy & Data Protection
Vendors must comply with DigiAssetss Privacy Policy and applicable data protection laws. DigiAssetss is not responsible for data misuse by vendors or their clients.
10. Limitation of Liability
DigiAssetss shall not be liable for any indirect, incidental, or consequential damages, including but not limited to:
WhatsApp account suspension due to policy violations
Business loss or message delivery failures
Vendor-client disputes
All services are provided on an “as-is” basis.
11. Termination
DigiAssetss reserves the right to suspend or terminate vendor access immediately, without prior notice, if the vendor:
Violates these Terms
Breaches WhatsApp policies
Engages in unlawful or harmful activities
Upon termination, all access rights will be revoked.
12. Governing Law
These Vendor Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of Indian courts.
13. Changes to Vendor Terms
DigiAssetss may revise these Terms at any time. Continued vendor engagement after updates constitutes acceptance of the revised Terms.
